Initially, we provide a platform where users can create a multi-media rich online profile for their career and work life related experiences, which is more presentable and visually appealing than a conventional CV, to allow other people to get to know a real person in career and work life settings.

    2. These are the user terms (User Terms) for the use of this Website and the servicesoffered through the Website (Services).

    3. The Website on which these User Terms are made available is operated by YouJoin Limited (we, us, our or YouJoin). Our registered company number is 08510004 and our registered address is at 145-157 St John Street, London, EC1V 4PW. Our VAT number is 165 6573 79.

  2. User Terms

    1. Please read these User Terms carefully before you start using our Services. If you do not agree to these User Terms, please refrain from using our Services. By using our Services you:

      1. agree to be bound by these User Terms; and

      2. enter into a binding agreement with us on the basis of these User Terms.

    2. We may change these User Terms from time to time. If a revision is material we shall, at our discretion, notify you. If you continue to use our Services after any such revisions take effect then you will be taken to have agreed to the revised User Terms.

    3. We may change the features contained in our Services from time to time. We do not guarantee that any particular content will be made available as part of our Services.

    4. You may not use our Services if you are under the age of 16.

  3. Privacy and Cookies Policy

    In addition to these User Terms, our Privacy and Cookies Policy also applies to your use of our Services (and is, where relevant, incorporated by reference into these User Terms).

  4. Registering a profile

    1. In order to share your professional information and to take full advantage of our Services you will need to register a profile (Profile). Your Profile provides a snapshot of your academic and professional history as well as other relevant information you choose to share.

    2. To register a Profile you must:

      1. be an individual;

      2. be 16 years old or older; and

      3. agree to comply with these User Terms.

    3. You must sign up directly with us in order to register a Profile. When signing up, you must provide:

      1. your full name;

      2. a valid and subsisting email address;

      3. a password; and

      4. any other information reasonably requested by us as part of the sign up process.

    4. It is your responsibility to ensure the information in your Profile is updated regularly with any relevant changes.

    5. You warrant that all information you provide to us when registering a Profile is true and accurate to the best of your knowledge and belief.

    6. We reserve the right in our absolute discretion to refuse to register any given prospective user if that user refuses to provide any details requested or we have reason to believe that any details that are provided are false or inaccurate.

    7. Please note that unless you specify a particular contact email address for recruitment related communications, we will use the default email address you provide to us when registering your Profile.

    8. You are solely responsible for protecting your login details and password and we will not be held liable for any loss or damage that may result from your failure to do so.

    9. We may contact you from time to time with the opportunity for your Profile to be used for promotional purposes on the Website. We will only use your Profile and information if you have expressly consented to such use in advance.

  5. Your Profile

    1. Users of the Website will either be registered users or unregistered users. You can choose to connect with registered users of the Website (Connections) at any time.

    2. When you register as a user on the Website, you will be presented with a view of a blank profile page, with a randomised Profile Link (as defined below) and a blank PIN (as defined below).

    3. At this stage, you are able to enter content and information onto your Profile page and will have the option to customise your Link and to set up your PIN code (as defined below).

    4. If you choose not to set-up your PIN or customise your Profile Link at this stage, you may do so at a later stage by accessing your Account Settings at any time.

    5. Upon creating a Profile you will be presented with a randomised URL address which is connected to your Profile (Profile Link). Your Link can be customised when creating your Profile or at a later date by accessing your Profile's account settings (Account Settings).

    6. We reserve the right to withdraw users' customised Profile Links, username or similar identifiers without notice at absolute discretion of YouJoin. This could because we need to give priorities to different parties (e.g. who helped YouJoin to grow) to choose their desired customised profile link or if we are of the opinion that users' Profile Links, usernames or similar identifiers are inappropriate morally, legally or are of a misleading nature.

    7. Your Connections can always view your full profile, and this is by default and cannot be changed.

      You can either activate the ‘Semi public profile View’ or ‘Public Profile View’, but not both at the same time.

    8. Semi-public profile View allows registered and unregistered users of the Website to be able to only view your Profile in its entirety if they have both your Profile Link and current PIN in usage.

    9. You can activate your Semi-public Profile View either by setting your PIN on your profile page or by setting it up in your account settings. You can disable the Semi-public profile View by accessing your account settings. Once disabled, your PIN will no longer work and those persons with whom you have shared your PIN will no longer be able to view your full Profile.

    10. Upon creating a Profile you will be given the option to create a four-digit pin code using any combination of letters or numbers (PIN). You can change your PIN code either on your profile page or in account settings.

    11. You are solely responsible for protecting your PIN and ensuring it is only shared with third parties of your choosing and we will not be held liable for any loss or damage that may result from your failure to do so. Please be aware that the third parties that you have chosen to share your PIN with might share it with other parties, and we will not be held liable for any loss or damage that may result from this.

    12. Public profile View allows registered and unregistered users of the Website to be able to only view your Profile in its entirety, with or without your Profile Link.

    13. You can activate the ‘Public Profile View’ in your account settings. If you choose within your Account Settings to set your Profile to 'public view', all information that you have set out on the Website will be visible to registered and unregistered users of the Website.

      YouCard
    14. Your YouCard is an abridged version of your profile with limited information in the form of YouCard. It is the top section of your profile showing the summary information which either we extract from your profile or you add in through editing your YouCard.

    15. Your YouCard will be searchable by registered users on the Website and generally by the public through normal Internet search engines.

  6. Posting content

    1. You accept sole responsibility for:

      1. all content including any information posted from your account (whether by you or others) through our Services; and

      2. all your content and activity when using our Services including any content you post in the form of recommendations or which is used as part of your Profile;

      and you indemnify us against any loss, damage or expense suffered or incurred by us as a result of any claim arising from or in relation to any such content or activity.

    2. If you choose to upload content using our Services then you must:

      1. own the content and/or have the consent of the owner of the content to allow such content to be uploaded and used in our Services;

      2. not submit any content which infringes the intellectual property rights, privacy rights or other rights of any third party;

      3. keep any postings relevant to the purpose of the group;

      4. not submit any content that identifies any individual where that individual hasnot provided his or her consent to being identified in exactly that way in your content;

      5. not submit any content that may create a risk of any loss, harm, or damage to any person or property;

      6. not submit any content that is unlawful, hateful, defamatory, threatening, abusive, ibellous, pornographic, sexually explicit, obscene, vulgar, harassing, indecent or offensive;

      7. not submit any content that is technically harmful or contains any viruses and/or other code that has contaminating or destructive elements;

      8. not submit fraudulent, false, deceptive, or misleading content or impersonate or misrepresent an affiliation with, any person or entity; and

      9. not submit any content that violates, or encourages any conduct that violates laws or regulations.

    3. You acknowledge and agree that:

      1. other users may see and use content which you share using our Services;

      2. any content you submit is at your own risk of loss;

      3. we do not monitor or moderate any content or recommendations posted by users; and

      4. we shall not be liable for, or in relation to, any such content or use (including any inappropriate, false or misleading content posted by you or other users of our Services).

      We reserve the right, in our sole discretion, to delete, edit or modify any content you post.

  7. What you are not allowed to do

    1. Our Services are provided to you solely for your non-commercial and personal use. You may not:

      1. redistribute or resell our Services to any other person;

      2. copy, resell or resupply, reverse engineer, de-compile or create derivative works based on the whole or any part of any software that you may be given access to in the course of receiving our Services, save as may be permitted by law;

      3. use our Services in any way that may damage our name or reputation or that of any of our affiliates; or

      4. otherwise do anything not expressly permitted by these User Terms.

  8. Notifications and Newsletter

    We may occasionally send notifications or a newsletter to you using your email address. You will be given the option to opt out of receiving these updates.

  9. External Links

    1. Our Services may include links to the websites of third parties. We are not responsible for:

      1. the operation or the content of these other websites;

      2. any act or omission of any third parties concerned; or

      3. anything provided (or not provided) by the third parties concerned.

    2. We do not give or enter into any condition, warranty or other terms to the effect that the websites linked through our Services are or will be available or operational at any given time or to any given extent or standard.

  10. Availability and operation of our Services

    1. We will use our reasonable endeavours to ensure our Services are available for use byyou for as much of the time as is reasonably possible, but we do not give or enter into any condition, warranty, or other term to the effect that our Services are or will be:

      1. available all of the time;

      2. free from defects; or

      3. in compliance with any particular standards.

    2. Further we do not give or enter into any condition, warranty or other term that we will be able to:

      1. display all content uploaded by you on the Website at all times; and

      2. host all such content.

    3. You acknowledge and agree that our Services may be unavailable from time to time due to scheduled maintenance or upgrades or for reasons outside our control (such as failures of internet access).

  11. Intellectual property rights

    1. All intellectual property rights in or relating to our Services (including text, graphics, software, photographs and other images, videos, sound, trade marks and logos) are owned by us or our licensors. Save to the extent that you are given a non-exclusive licence to use the intellectual property rights concerned to the extent necessary to enable you to use our Services in accordance with these User Terms, you are not given any rights in respect of the intellectual property rights owned by us or our licensors and you acknowledge and agree that you do not acquire any ownership of, or other rights in relation to, any such intellectual property rights by virtue of using our Services.

    2. You agree that, by submitting any content via our Services, you grant us and our affiliates a perpetual, irrevocable, worldwide, non-exclusive, royalty-free and fully sub-licensable right and licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such content (in whole or part) and/or to incorporate it in other works in any form, media or technology, and you waive any moral rights you may have in, or to be identified as the author, of such content. You also grant other users of our Services a non-exclusive licence to view such content.

  12. Our liability

    1. Nothing in these User Terms shall exclude or limit our liability to you:

      1. for death or personal injury caused by our negligence;

      2. for fraud or fraudulent misrepresentation; or

      3. for any other liability that may not, under English law, be excluded or limited.

    2. Subject to clause 14.1, we shall not be liable to you (whether such liability arises as a result of breach of contract, negligence, misrepresentation or for any other reason) for any loss or damage which arises as a result of:

      1. any act or omission of any recruiter, employer or other third party who may contact you, be introduced to you or whom you may enter into discussions or employment with through our Services; or

      2. any circumstance which we cannot reasonably be expected to control.

    3. You are solely responsible for protecting your login details, password and pin-code and we will not be held liable for any loss or damage that may result from your failure to do so.

    4. 14.4 Subject to clauses 14.1 and 14.2, we shall not be liable to you (whether such liability arises as a result of breach of contract, negligence, misrepresentation or for any other reason) for any business losses and any liability we do have for losses you suffer is strictly limited to losses which were reasonably foreseeable.

    5. You agree to indemnify us and hold us harmless on demand for any damages, losses, and liabilities (including legal costs) relating to all claims howsoever arising as a result of your failure to comply with these User Terms.

  13. Disclaimer

    1. We provide a platform for users and employers / recruiters to meet and interact with each other, however we are not and do not purport to be an Employment Agency or an Employment Business as defined in (as defined in the Employment Agencies Act 1973 and any related legislation).

    2. All information about recruiters and employers available through our Services is prepared and posted by the recruiters or employers concerned and we cannot verify its truth or accuracy.

    3. We give no warranties or representations in respect of the information available through our Services and accept no liability in relation to such information. We give no warranty or assurance as to any other aspect of our Services and all implied warranties and conditions are excluded to the maximum extent permitted by law.

    4. It is your responsibility to verify any information accessed through our Services, and our Services are used at your own risk.

    5. You acknowledge that we are not and cannot be responsible for the conduct or behaviour of the users who use our Services. We have no control over the safety or legality of any position entered into as a consequence of using our Services or the quality, quantity or nature of position likely to be offered through our Services.

  14. Closing your account

    1. We may close your account and associated profile if, at our absolute discretion, we believe that you are in breach of any of these User Terms or any terms contained within our Privacy Policy, Community Policy or other adopted policies or codes of conduct which apply to this Website.

    2. Any information you submit to us is at your own risk of loss. Your account and all of its content will be deleted 30 days from the date of its closure.

  15. Feedback

    1. Registered YouJoin users can provide feedback and submit contributions to further improve our Services (Feedback) by contacting us at contact@youjoin.com. By submitting Feedback, you acknowledge and agree that:

      1. such Feedback does not contain confidential information or content that would infringe any term under these User Terms;

      2. all intellectual property rights in any content contained in the Feedback are owned by YouJoin;

      3. YouJoin shall be entitled to use or disclose such Feedback for any purpose; and

      4. you are not entitled to any compensation or reimbursement of any kind from YouJoin for the submission of such Feedback, whether used or not.

  16. General

    1. You may not sub-license or assign any of the rights or obligations under these User Terms.

    2. We may sub-contract the performance of any of our obligations to you. We may assign any of our rights or obligations to you to someone else, provided that we notify you that we have done so.

    3. These User Terms and any other terms expressly referred to in them represent the entire agreement between you and us in relation to their subject matter. Nothing in this clause shall operate to exclude representations made fraudulently.

    4. All notices given by you to us or vice-versa must be given by email or in writing to the address set out in clause 18. We may give notice to you at either the email or postal address you provide to us when placing an order.

    5. If we fail to enforce, or delay in enforcing, any of our rights under these User Terms, that does not result in a waiver of the rights concerned.

    6. If any provision of these User Terms or any other terms incorporated by reference isfound to be unenforceable, it shall not affect the enforceability of any other provisions they contain.

    7. No terms are enforceable under the Contracts (Rights of Third Parties) Act 1999 by aperson who is not a party to the agreement between us.

    8. Subject to clause 18.10, any dispute or difference arising out of or in connection with these User Terms, its interpretation or subject matter ("Dispute") shall be referred to a representative from each party. If any such Dispute remains unresolved for a period in excess of 14 days from the date it was referred to the latter representatives (or such other period as the parties may agree), it will be resolved in accordance with clauses 18.9 and 18.11.

    9. Subject to clause 18.10, any Dispute which remains unresolved following the exhaustion of the procedure set out in clause 18.8 may be referred to mediation in accordance with the Centre for Dispute Resolution ("CEDR") Model Mediation Procedure ("Model Procedure"). To initiate a mediation, a party must give written notice ("Mediation Notice") to the other party requesting a mediation in accordance with this clause 18.9. A copy of the request should also be sent to CEDR. The Model Procedure will be amended to take account of any other agreement which the parties may enter into in relation to the conduct of the mediation. If there is any point on the conduct of the mediation (including the nomination of the mediator) upon which the parties cannot agree within 14 days from the date of the Mediation Notice, CEDR will, at the request of either party, decide that point for the parties, having consulted with them. The mediation will start not later than 21 days after the date of the Mediation Notice. Neither party may terminate mediation until each party has made its opening presentation and the mediator has met each party separately. Thereafter, paragraph 14 of the Model Procedure will apply. The mediation will take place in London and the language of the mediation will be English. The English courts will have exclusive jurisdiction to settle any claim, dispute or matter of difference which may arise out of, or in connection with, the mediation.

    10. Nothing in these User Terms shall prevent either party, in cases in which interim, injunctive or declaratory relief is required, or where the right to issue proceedings would be prejudiced by the impending expiration of any applicable limitation period, from commencing proceedings and pursuing claims before a court of competent jurisdiction.

    11. These User Terms and our other terms incorporated by reference shall be governed by English law and you agree that any dispute between us regarding these User Terms will be subject to the exclusive jurisdiction of the English courts.

    12. Access to the Website or to any content from territories where use of the Website (or any part of it) is illegal or unlawful is expressly prohibited. If you choose to access the Website from outside the United Kingdom, you do so of your own accord and are responsible for compliance with local laws.
